The challenged documents were then reviewed by a senior lawyer of the claimant, and some redactions were removed. In WH Holding Ltd & Anor v E20 Stadium LLP, the claimant made an application against the defendant for specific disclosure of documents which had been the subject of redaction. Heavy redactions, unless agreed, are likely to be challenged and could result in costs sanctions. If confidentiality must be maintained, other solutions such as the use of confidentiality rings should be considered (which will only be allowed by the courts in limited circumstances). Such documents are prima facie disclosable. This can create difficulties when a non-privileged document is relevant and confidential, such as an agreement that contains a confidentiality provision. Generally speaking, if the document is one that you want to rely on, or is adverse to your case or supports or is adverse to another party's case, or is referred to by an expert or witness, then it will be relevant. Whether a document is relevant will be fact specific. The Disclosure Pilot Scheme, which was introduced to the Business and Property Courts for a period of two years from 2019, provides that parties may redact parts of documents on the grounds that the data is irrelevant to any issue in the proceedings and is confidential or privileged. The documents also have to be irrelevant, and even then, whether to allow redaction is a question for the court's/tribunal's discretion. However, confidentiality alone is not a valid ground for redaction. Parties often wish to redact documents to remove confidential information, perhaps for reasons of commercial sensitivity or where they contain third party information. Redactions cannot be made for confidentiality alone.However, to the extent that the documents only betray the fact that legal advice has been given, they will not be privileged, and are therefore not redactable. To the extent to which those "secondary" documents reveal the legal advice given, or an inference could be drawn from them that provides a reasonable indication as to the substance of the legal advice given, they will be privileged. The question then arises whether those sections can be redacted. It is common for documents to contain discussion or repetition of privileged legal advice, particularly in emails and board minutes.
